1.Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of Sahayogi One, its website, and related services provided by Sahayogi One Private Limited ("Company", "we", "us", or "our").

By accessing or using any part of the service, you agree to these Terms. If you do not agree, do not use the service.

2.Service Description

Sahayogi One is the administrative control plane for the Sahayogi product suite: a single sign-on identity provider, organisation and workspace administration, user and role management, and a launcher for every other Sahayogi product your organisation has been provisioned into. It is not itself an accounting, tax, or messaging product — it is the layer those products authenticate and are administered through.

We aim to provide a reliable service, but the Platform is offered on an "as available" basis. We do not guarantee uninterrupted availability, or that every feature described in marketing material is enabled in every environment or plan.

3.User Accounts & Responsibilities

You must provide accurate information when we create or manage access for you. You are responsible for keeping your login credentials secure and for activity that occurs through your account — including activity in any connected product you access via single sign-on through the Platform.

You agree to:

  • Provide accurate and current registration or workspace information
  • Keep passwords, OTPs, and other credentials confidential
  • Notify us promptly if you suspect unauthorised access
  • Use the Platform only for lawful and authorised business purposes
Organisation administrators are responsible for inviting users, assigning permissions and product entitlements, and removing access when it is no longer required.

4.Commercial Terms

Paid use of any Sahayogi product provisioned through the Platform is governed by the applicable quote, order form, subscription plan, invoice, or other commercial document issued by us. Trials, pilots, and invite-only access may be governed by separate written terms.

  • Fees, billing cycles, taxes, and plan limits are determined by the applicable commercial arrangement
  • We may suspend or restrict access for overdue accounts, abuse, legal risk, or serious breach of these Terms
  • Pricing or plan changes apply prospectively and, where relevant, after notice or renewal

5.Intellectual Property

The Platform, including its software, branding, interface design, documentation, and related material, remains the property of Sahayogi One Private Limited and its licensors. Except for the limited right to use the service under these Terms and any applicable commercial agreement, no rights are transferred to you.

6.Acceptable Use

You may not:

  • Use the Platform for unlawful, abusive, fraudulent, or deceptive activity
  • Attempt to bypass authentication, authorisation, or product-entitlement controls
  • Introduce malware, harmful code, or denial-of-service behaviour
  • Interfere with the Platform, its infrastructure, or other users' access
  • Reverse engineer or extract source code except where the law clearly permits it
  • Resell or sublicense access without our written approval
We may suspend or terminate access immediately where we reasonably believe continued access creates security, legal, operational, or financial risk.

7.Data Ownership

Customers retain their rights in the organisation, workspace, and user data they submit to the Platform. We use that data to deliver, secure, support, and improve the service, and to meet legal or contractual obligations. Data a customer submits into a connected Sahayogi product (e.g. accounting records, tax filings, chat messages) is governed by that product's own terms and privacy policy.

Export, handover, retention, and deletion outcomes can depend on the enabled features, current technical capabilities, statutory retention duties, and the commercial terms applicable to the account.

8.Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business, or lost goodwill arising from use of the Platform.

Our aggregate liability for claims relating to the service will not exceed the fees paid by you for the affected service in the twelve months immediately preceding the event giving rise to the claim, unless applicable law requires otherwise.

9.Indemnification

You agree to indemnify and hold harmless Sahayogi One Private Limited, its officers, employees, and agents against claims arising from your unlawful use of the Platform, your breach of these Terms, or your data and materials submitted through the service.

10.Termination

Either party may stop using or providing the service according to the applicable commercial arrangement or by written notice where no separate arrangement exists. We may suspend or terminate access earlier if required by law, non-payment, misuse, security concerns, or material breach.

On termination, access may end immediately, but obligations relating to fees, confidentiality, intellectual property, liability limits, dispute handling, and legally required retention can survive.

11.Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to any mandatory law that applies otherwise, disputes relating to these Terms are subject to the courts in New Delhi, India.

12.Changes to Terms

We may update these Terms from time to time. The revised version will be posted on this page with an updated revision date. Continued use after the revised Terms take effect means you accept them.
